How to handle an overdue AGM meeting and managing agent issues?

Hi, I am looking for advice or guidance please. We are a block of 15 flats and are unhappy with the managing agents.

As shareholders, we have two directors who do not live on-site continuously. They do not carry out repairs and charge over the top for works carried out when work does happen.

We voted in additional directors, two were accepted, but the other two were told they could not become directors for reasons that we have since found out were not valid.

We are extremely unhappy with the way things are going and have tried to work through this together with the managing agents, to no resolution. My main reason for this post is we have not had an AGM since March 2023 even though many of us have requested this. We are now due to pay another half yearly maintenance payment.

Any advice, direction or help would be gratefully received please.

    Hi,
    When was your management company formed? AGM is not required for companies formed after 2006, unless the Mem & Arts say differently. However, an AGM can still be arranged if more than 50% of shareholders or their proxies request it.

    What is the ownership structure of the 15 flats? Do you have leases on the flats? The contents of the lease should explain the rights and obligations of the connected parties. If you feel you have been overcharged, you are legally entitled to see a summary of how the service charge was calculated. If any repair or maintenance job amounted to more than £250 per qualifying lease, then a s.20 consultation should have been carried out beforehand, otherwise the cost is limited to £250 per leaseholder.
